These Terms of Use ("Terms") govern your use of this website and describe the scope of services provided by FirmLedge LLC ("FirmLedge," "we," "us," or "our").

1. Services

FirmLedge acquires or licenses records from authorized sources, prepares them to buyer specifications, and licenses or sells the resulting data products. We also create custom datasets from original, synthetic, properly licensed, or documented combinations of inputs. Tasks, verified answers, grading criteria, and integration support are scoped when required. Financial diligence is the first specialty; other categories are considered according to buyer needs, rights, review capability, and economics. Existing Full Spread engagements remain subject to their written agreements. The specific records, rights, scope, deliverables, acceptance criteria, timeline, and fees for any engagement are defined in a separate written agreement between FirmLedge and the counterparty. Nothing on this website is an offer of any particular dataset, and descriptions of record types do not describe current inventory.

For data-licensing opportunities, FirmLedge may act as a source-side representative or a sourcing or referral partner under a separate written engagement. FirmLedge charges the rights holder no fee. The buyer pays FirmLedge, and each proposal discloses that fee alongside the amount payable to the rights holder. No FirmLedge fee is deducted from the rights holder’s proceeds. The role, scope and buyer-paid compensation are documented before engagement. Describing these routes does not create a representation agreement or authorize access to or disclosure of records.

Cash Review pilots are separately scoped engagements for record preparation, bank-to-ledger reconciliation and exception workpapers. Purchasing a review does not authorize data licensing, and licensing participation does not require purchasing a review. The public interactive example uses fictional records and demonstrates limited matching suggestions; it is not a completed client engagement or a certification of financial records.

Acquisition Financial Review is a separately scoped financial-analysis service covering supplied financial information, claimed adjustments, inconsistencies and open questions, with a workbook, findings memo and review call. The review covers one company and an agreed document packet, subject to scope acceptance. Fees, inputs, periods, delivery timing and clarification or revision allowances are confirmed in writing before work begins. Additional work is separately agreed. Purchasing this service grants no permission to license client records or use them for model training.

2. Data rights

Rights in any dataset are granted only by a written license that identifies the permitted uses, scope, duration, exclusivity, and recipients. A license covers what the source agreement permits and nothing more. Ownership of a copy of a record is not a right to use or distribute it, and sanitization of a record is not a grant of commercial permission. FirmLedge does not warrant that any prepared dataset is free of identification risk; the applicable agreement describes the preparation, review, and approval process and its limits.

3. What we do not provide

FirmLedge does not provide legal, tax, audit, assurance, or formal Quality of Earnings services; fairness or valuation opinions; investment advice or securities advisory; broker-dealer services; capital raising; buyer or investor solicitation for the sale of a business; or success-fee-based services for the sale of a business or securities. Separately agreed data-licensing sourcing and representation are described in Section 1. FirmLedge does not certify, attest to, or audit financial statements or underlying records, and does not guarantee any model, evaluation, transaction, or financial outcome.

4. Counterparty responsibility for materials

If you provide records, files, data, or materials to us, you represent that you have the authority to do so for the purposes described in the applicable agreement and that you have identified any third-party restrictions you are aware of. You remain responsible for the completeness, accuracy, and legality of the materials you provide.

5. Reliance on provided information

Prepared datasets, readouts, context notes, verified answers, and other deliverables rely on stated sources, assumptions, and methods. Quality checks, reconciliations, and answer validation are performed to the agreed scope and documented with their limitations. These checks do not independently authenticate every source fact and do not constitute an audit, assurance, valuation opinion, or attestation. Deliverables support the recipient's own analysis and decisions.

6. No third-party reliance

Deliverables are prepared for the contracting counterparty's use under the applicable agreement. They are not intended to create reliance by any third party unless expressly agreed in writing.

7. Confidentiality and data handling

We treat materials provided in connection with an engagement as confidential and use them only as the applicable agreement and our Privacy Policy permit. Please do not send confidential records, personal data, or sensitive transaction materials through an initial email; access, confidentiality, and permitted processing tools are agreed in writing before materials are shared.

8. Engagement terms

Commercial terms are discussed directly and recorded in a separate written agreement before engagement.

9. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the website or any service will not exceed the amount actually paid to us for the specific service giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages. Where a written agreement provides different terms, that agreement controls for the matters it covers.

10. Changes

We may update these Terms from time to time by posting a revised version on this website.
